ISO Registration with Visa U.S.A® |

An Independent Sales Organization ("ISO"), Third-Party Servicer, or Independent Contractor must comply with all of the following:
Register with Visa prior to commencement of contracted services by sending the ISO/Third-Party Servicer/Independent Contractor Registration (Exhibit VV) to Visa by certified mail (return receipt requested).
Send Visa an updated (Exhibit VV), within 3 business days of any change or knowledge of any change in the: ISO, Third-Party Servicer, or Independent Contractor's principals or relationship (including discontinuance) or Control of a registered ISO/Third-Party Servicer.
Forward requests for correction of any error on (Exhibit VV) in writing with all pertinent information to Visa . Visa assesses a fine of $10,000 for each 30-calendar-day period, or portion thereof, during which the Member fails to register the ISO Third-Party Servicer, or Independent Contractor.
Visa® assesses fines to any Member that fails to comply with the above provisions per violation as follows:

| Second occurrence in a 5-year period | $20,000 |
| Third occurrence in a 5-year period | $50,000 |
A Member must execute a written contract with each ISO, Third-Party Servicer, or Independent Contractor that performs Cardholder or Merchant solicitation and Transaction processing.
A Member must:
Control approval and review of Merchants, approval of Cardholder applications, and establishment of Merchant fees for Visa Transactions.
Maintain a file on the ISO, Third-Party Servicer, or Independent Contractor that includes all applicable documentation, and retain this file, with the reason for discontinuance, for a minimum of 2 years following discontinuance of the Independent Sales Organization, Third-Party Servicer, or Independent Contractor relationship.
Identify each ISO, Third-Party Servicer, or Independent Contractor and designate the activities that it is authorized to perform on the Member's behalf.
Submit to Visa a detailed quarterly report signed by an authorized officer regarding the activities and services of each ISO or Third-Party Servicer, and Visa assesses a fine for failure to provide this information within 30 days from quarter end.
